RELINKD - Terms of Service

Relinkd is an Abilitics software-as-a-service tool ("the Relinkd App") designed for professional users to manage their personal relationships. It is a web app that is integrated with LinkedIn and enhanced by an Abilitics developed ChatGPT agent. We also operate the VibeCards (VibeCards Chatbot), which is a Viber chatbot designed to help users more easily connect with one another and exchange their contacts.

Further down the document, when we refer to the Relinkd App, that shall mean both the Relinkd web app and the VibeCards Viber Chatbot.

These Terms of Service govern the relationship between you and Abilitics and enter into force upon your subscribing to the Relinkd application by way of an online registration to the web app at https://relinkd.net or by joining the VibeCards chatbot.

1. Description of the Relinkd Services:

1.1. Personal Relationship Management

Features:

• You can make a registration with an eMail or login using an active Microsoft or Google Account
• You can connect your LinkedIn account and import their connections from LinkedIn
• You can import your Phone contacts by connecting your Outlook or Google account
• You can manage your connections and contacts – change, note, flag/organize and group contacts
• You can send personal email to the eMail address track@relinkd.net in which case the email is stored in Relinkd and connected to all of their contacts
• You receive emails with notifications to remind to do a follow-up
• The ChatGPT-enabled functionality is able to process your connections, emails, cards and provide personalised suggestions to follow up certain accounts, how to follow them up,to summarize their descriptions and have your relationships base analysed.

1.2. Business Card Builder and Exchanging Contacts.

Features:

• You can create your personal business card on the web (or import your data from LinkedIn) – typical data is name, position, contact information
• You can create a QR Code and let other people create theirs to save your contacts to your phone
• You can attach your business' presentation, brochures as PDFs data, to be available in addition to your Business Card
• You can connect to a Viber chatbot, share your personal phone number, and create your Business card from Viber
• When you connect on Viber, you can share your business cards via Viber to another VibeCard user (much like a connection in LinkedIn)
• You can connect with another user via the web app and exchange your contacts in that manner, after the other person approves the connection request

1.3. Social Networking and Events.

• View open/upcoming Events
• Check at an event and exchange selected networking information or arrange a networking opportunity
• You can create Communities (in which case you become a community owner)
• Community owners can create events for their community
• Community owners can set passcode for events – so that event attendees are private
• Community owners can generate QR code and share it at the event – so when scanning the QR code, a person goes into Viber, creates their card and automatically gets listed in the Event Attendees

2.    License to use the Relinkd App.

2.1. The Relinkd App is a software-as-a-service created and maintained by Abilitics. Subject to your compliance with these Terms of Service and the Relinkd Privacy Policy, Abilitics hereby grants to you, a personal, worldwide, royalty-free, non-assignable, non-sublicensable, non-transferrable, and non-exclusive license to install and use any software applications Relinkd provides to you for your personal business needs.

2.2. Abilitics exclusively owns all rights, title, and interest in and to the SaaS solution including, but not limited to, (i) de-identified data, (ii) associated intellectual property rights (iii) derivative works, improvements or modifications (iv) all feedback, suggestions, or ideas provided by Customer relating to the SaaS Solutions during the course of the business relationship; and (v) Company’s know-how and Company Materials.

Except for the limited License rights explicitly set forth in the Agreement no right, title, or interest in or to the above list is granted or otherwise transferred to Customer.

2.3. Abilitics partners with other companies and those companies software and APIs to provide the Relinkd App’s Services – such as Microsoft (for LinkedIn), OpenAI (ChatGPT), Viber. Their Terms of Service and their Privacy Policies and Licensing Agreements may apply to the relationship depending on the exact nature of the Relinkd Services you use. You must read the respective terms and policies when using Relinkd to better understand your rights and obligations and the nature of the services you are using.

2.4. All information and data which is exchanged via the application remains solely the ownership of the customer who exclusively own all rights, title, and interest in and to the Customer Data. Company may use customer data (de-identified whenever possible and necessary) and feedback to fulfill its obligations under this Agreement and for any other lawful internal business purpose including in connection with developing or enhancing new or existing Relinkd Services.

2.5. Required age

To use the app, you must be 18+

3.    Freemium Model. Payments.

3.1. After you create an account/log in and start using the service, you can use the basic features of the Relinkd Service for free for an indefinite period of time – these are all or some features of the service.

3.2. We will offer you to upgrade your account and choose a subscription plan in order to use additional features of the Relinkd app. Unless you subscribe, you will not be able to unlock additional features but you can continue using the basic version of Relinkd for as long as it is offered free of charge.

3.3. If you want to start using the Relinkd App Services as an enterprise and not as an individual (being able to manage all individual accounts in a centralised manner and pay for them in the same way), you will need to contact Abilitics for Enterprise Account Management Services at info@relinkd.net.

"Account deletion: You may delete your account at any time by following the account deletion procedure available within the app or by contacting info@relinkd.net."

4.    Liability. Limitation of Liability.

4.1. Abilitics shall not be liable:

• For your behaviour, in case it is not compatible with these Terms of Service, including the acceptable use provisions, our Acceptable Use Policy, or the applicable law;
• In case we are required to provide data or metadata for your ID/usage of the Relinkd Service in a lawful manner on appropriate legal grounds by a law enforcement or tax or anti-money laundering/anti-terrorist financing agency of the country where the Relinkd Service Infrastructure is located/EU/EU member state or a third member state having a valid and effective international agreement concerning disclosure of electronic evidence with the EU/the country where Relinkd Infrastructure is located.
• In case you are dissatisfied or have had a subpar experience related to the Relinkd Services.
• The behaviour of other users of the Relinkd Service
• Your failure to log in or use the Relinkd Service, including through a third-party service provider's infrastructure, which does not lie with us.

4.2. YOU EXPRESSLY UNDERSTAND AND AGREE THAT ABILITICS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY DAMAGES, OR DAMAGES FOR LOSS OF PROFITS INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF ABILITICS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, RESULTING FROM: (I) THE USE OR THE INABILITY TO USE THE SERVICE; (II) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH OR FROM THE SERVICE; (III) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (IV) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICE; OR (V) ANY OTHER MATTER RELATING TO THE SERVICE. IN NO EVENT WILL VIBECARD’S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID ABILITICS IN THE LAST SIX (6) MONTHS, OR, IF GREATER, ONE HUNDRED DOLLARS (EUR100).

4.3. SOME JURISDICTIONS DO NOT ALLOW THE DISCLAIMER OR EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS SET FORTH ABOVE MAY NOT APPLY TO YOU OR BE ENFORCEABLE WITH RESPECT TO YOU AND ARE INTENDED TO BE ONLY AS BROAD AS IS PERMITTED UNDER THE LAWS OF THE APPLICABLE STATE. IF ANY PORTION OF THESE SECTIONS IS HELD TO BE INVALID UNDER APPLICABLE LAWS, THE INVALIDITY OF SUCH PORTION SHALL NOT AFFECT THE VALIDITY OF THE REMAINING PORTIONS OF THE APPLICABLE SECTIONS. IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE SERVICE OR WITH THESE TERMS OF SERVICE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USE OF THE SERVICE.

5. Acceptable Use Policy.

5.1. You undertake not to interfere with the intended operation of Relinkd Services, you must respect the privacy rights of the other users.

5.2. You cannot access or collect information in unauthorised ways, or from people who have not agreed to the exchange of contacts with you or whom you approach for networking purposes within an event organization. If a contract declines to continue the exchange, you must not initiate it any further. You can not do anything unlawful, misleading or fraudulent whilst using the Relinkd Services, or use them in any way to track people down or pester them or initiate unwanted contact with them or impersonify someone else while using the Relinkd Services or provide inaccurate information.

5.3. You bear all responsibility for content generated by you. It must comply with all applicable laws at all times and not discriminate against, harass, insult or cause inconvenience to any of the other users of the Relinkd Services or the integrated applications, including, without limitation LinkedIN, Viber and ChatGPT. The former also relates to the content and data fed by you into the AI-powered features of the Relinkd Services since such content may be used to influence the content evoked by other users of the application with their prompts.

5.4. By using the services you must respect all applicable confidentiality requirements and privacy laws.

5.5. You must not provide your credentials for the Relinkd Services to anyone else; if you do against these Terms of Service and Policy you bear full responsibility for the activities undertaken under your name.

5.6. Access to the Service: You are responsible for obtaining and maintaining any equipment and ancillary services needed to connect to, access or otherwise use the Service. You are responsible for ensuring that such equipment and services are compatible with the Service, and, to the extent applicable, the Software (as defined below).

6.    Termination or suspension of your account.

Your account can be terminated if you receive a warning that you violate Relinkd acceptable use policy and do not correct the violation immediately. In this case your personal data and your user generated content will still be available for you to download or migrate to another supplier within 30 days following termination. 

7.    General Provisions.

7.1. These Terms of Service, their enforcement and interpretation and the filling in of gaps therein will be controlled by Bulgarian law to the extent not overruled by the mandatory consumer legal provisions at the country of habitual residence of the consumer.

7.2. Force Majeure: Neither party shall be liable for failure to perform its obligations if such failure results from any cause beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, government actions, labor disputes, or power failures.

7.3. We reserve the right, at our sole discretion, to change or modify portions of these Terms of Service at any time. If we do this, we will update those in the application and notify you with a, email, push notification, pop-up screen or other reasonable means accordingly and indicate at the top of this page the date these terms were last revised. For existing users of the Services, any such changes will become effective no earlier than fourteen days after they are posted, except that changes addressing new functions of the Services or changes made for legal reasons will be effective immediately, and for new users signing up for the Services, any changes will be effective immediately. Your continued use of the Service after the date any such changes become effective constitutes your acceptance of the new Terms of Service.
